These Terms of Use (“Terms”) govern your access to and use of the services, APIs, SDKs, documentation, and related products (collectively, the “Services”) provided by Asoba Corporation (“Asoba,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms.
If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Acceptance of Terms
By creating an account, accessing our APIs, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Services.
2. Description of Services
Asoba provides an energy intelligence platform that includes:
- Ona Intelligence Layer: Cloud-based API platform for energy forecasting, anomaly detection, data ingestion, and MLOps
- Ona Edge: Edge computing deployment for local, offline-capable inference
- Nehanda: Intelligence assessment and signal detection models
- Zorora: Local-deployment deep research engine with credibility scoring
- ASB-P Protocol: Blockchain-based performance enforcement system
- SDKs and Documentation: Developer tools and resources for integrating with our platform
The specific features, capabilities, and limitations of each Service are described in our documentation.
3. Account Registration and Responsibilities
3.1 Account Creation
To access our Services, you must create an account and provide accurate, complete, and current information. You agree to update your account information promptly if it changes.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your API keys, credentials, and authentication tokens
- All activities that occur under your account
- Notifying us immediately at support@asoba.co if you suspect unauthorized access to your account
3.3 Account Restrictions
You must not:
- Share your account credentials or API keys with unauthorized parties
- Create multiple accounts to circumvent usage limits or restrictions
- Use another person’s or organization’s account without authorization
4. Acceptable Use
4.1 Permitted Use
You may use the Services for lawful purposes related to energy data management, forecasting, analytics, and related business operations, in accordance with these Terms and applicable law.
4.2 Prohibited Use
You agree not to:
- Use the Services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems, networks, or other users’ accounts
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of our models or proprietary algorithms
- Interfere with or disrupt the integrity or performance of the Services
- Use the Services to develop a competing product or service
- Resell, sublicense, or redistribute access to the Services without our prior written consent
- Upload malicious code, viruses, or harmful data through our APIs or data ingestion pipelines
- Misrepresent the source or accuracy of data provided to the platform
- Use automated tools to scrape, crawl, or extract data from the Services beyond normal API usage
- Circumvent or attempt to circumvent any usage limits, rate limits, or access controls
5. API Usage and Rate Limits
5.1 Usage Limits
Your access to our APIs is subject to usage limits as defined in your service agreement or subscription plan. These may include:
- API call rate limits (requests per second/minute/hour)
- Data upload volume limits
- Model training frequency limits
- Concurrent connection limits
5.2 Fair Use
We reserve the right to throttle or temporarily suspend API access if your usage:
- Exceeds your plan’s defined limits
- Creates an unreasonable burden on our infrastructure
- Negatively impacts the performance of the Services for other users
We will make reasonable efforts to notify you before taking such action.
5.3 Monitoring
We monitor API usage to ensure fair use, maintain system stability, and enforce these Terms. Usage data is handled in accordance with our Privacy Policy.
6. Intellectual Property
6.1 Asoba’s Intellectual Property
The Services, including all software, models, algorithms, APIs, documentation, trademarks, and other intellectual property, are and remain the exclusive property of Asoba Corporation. These Terms do not grant you any ownership rights in the Services.
6.2 License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your subscription.
6.3 Feedback
If you provide feedback, suggestions, or ideas regarding the Services, you grant Asoba a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback into our products and services.
7. Data Ownership and Licensing
7.1 Your Data
You retain all ownership rights to the data you upload to or generate through the Services (“Your Data”). By using the Services, you grant Asoba a limited license to process Your Data solely for the purpose of providing the Services to you.
7.2 Aggregated and Anonymized Data
We may create anonymized, aggregated datasets derived from Your Data. These aggregated datasets, which cannot identify you or your specific assets, may be used to improve our models, conduct research, and enhance the Services. This use is described in our Privacy Policy.
7.3 Model Outputs
Forecast results, anomaly detection outputs, and other model outputs generated by the Services based on Your Data are provided to you as part of the Services. You may use these outputs for your business purposes, subject to these Terms.
8. Service Availability and Support
8.1 Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when practicable)
- Unscheduled maintenance to address security or stability issues
- Events beyond our reasonable control (force majeure)
8.2 Support
Support is provided as described in your service agreement. General support inquiries may be directed to support@asoba.co.
9. Fees and Payment
9.1 Pricing
Fees for the Services are as set forth in your service agreement or the pricing published on our platform. All fees are exclusive of applicable taxes unless stated otherwise.
9.2 Payment Terms
Fees are due as specified in your service agreement. We reserve the right to suspend access to the Services for overdue accounts after providing reasonable notice.
9.3 Changes to Pricing
We may update our pricing from time to time. We will provide at least 30 days’ advance notice of any pricing changes. Continued use of the Services after the effective date of a pricing change constitutes acceptance of the new pricing.
10. Disclaimers
10.1 As-Is Basis
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Forecast Accuracy
While we strive for high accuracy in our forecasting models, we do not guarantee the accuracy, completeness, or reliability of any forecasts, predictions, or model outputs. Energy forecasting involves inherent uncertainty, and outputs should be used as one input among others in your decision-making processes.
10.3 No Professional Advice
The Services do not constitute professional engineering, financial, legal, or investment advice. You are responsible for making your own assessments and decisions based on model outputs.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- ASOBA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
- ASOBA’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ASOBA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
12. Indemnification
You agree to indemnify, defend, and hold harmless Asoba Corporation, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any data you upload to or process through the Services
- Any third-party claims arising from your use of model outputs
13. Termination
13.1 By You
You may terminate your account at any time by contacting us at support@asoba.co. Upon termination, your access to the Services will cease, and we will handle your data in accordance with our Privacy Policy.
13.2 By Asoba
We may suspend or terminate your access to the Services, in whole or in part, if:
- You breach any provision of these Terms
- Your account is overdue for payment
- We are required to do so by law
- We reasonably believe your use poses a security risk to the Services or other users
We will provide reasonable notice before termination where practicable, except in cases of serious breach or security risk.
13.3 Effect of Termination
Upon termination:
- Your right to access and use the Services immediately ceases
- You must cease all use of our APIs, SDKs, and related tools
- We will make Your Data available for export for a reasonable period (typically 30 days) upon request
- Provisions that by their nature should survive termination will continue in effect (including Sections 6, 7, 10, 11, 12, and 14)
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.
14.2 Dispute Resolution
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA), with the seat of arbitration in Johannesburg, South Africa.
15. General Provisions
15.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Asoba regarding the Services.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
15.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
15.5 Notices
Notices to Asoba should be sent to support@asoba.co. We may send notices to you via the email address associated with your account or through the platform.
16. Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will:
- Update the “Last Updated” date at the top of this page
- Notify you via email or through the platform
- Provide at least 30 days’ notice before material changes take effect
Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
